WAICA Re announces the vacancy of Assistant Officer, Legal and Corporate Services to be based at the Head Office at 30 Junction Hill station Freetown, Sierra Leone.
Job purpose
The Assistant Officer, Legal and Corporate Services role will be responsible for providing support to the Group Head, Legal and Corporate Services to ensure all Group legal, secretariat and corporate governance functions are completed effectively and efficiently. The role will be interacting with the various functions in the Group, the Executive Team, the Board, its sub-committees and will be expected to prepare agendas, coordinate the production of minutes, recordkeeping and ensuring that there is effective follow through on all relevant matters arising and action points.
Job duties and responsibilities
Corporate Services
- Assist in preparing agendas.
- Coordinating the production of papers and minutes for the Group Board, Sub Committees and recordkeeping and ensuring that there is effective follow through on all relevant matters arising and action points.
- Implementation of the various tasks as per the departmental objectives and ensure timeous resolution of matters.
- Working with the relevant departments to ensure that all scheduled departmental activities are implemented, including organising all aspects of the Group Board and other meetings and ensuring all involved are aware of upcoming commitments and responsibilities.
- Collating, reviewing and preparing a range of papers and correspondence, proactively identifying and distilling pertinent issues where appropriate.
- Appropriately handling of correspondence and documentation for the Secretariat, including documentation of a sensitive or confidential nature using a high degree of discretion.
- Drafting and submission of statutory returns with the Corporate Affairs Directorate.
- Drafting and processing of Resolutions.
- Management of shares which includes the processing of transfers, preparing and issuing share certificates and maintaining the share register.
- Effecting changes in Statutory Information.
- Maintenance of Statutory Registers as provided by the Relevant Companies Act.
Strategic
- Anticipation of the needs of the Group Legal and Corporate Services department and proactively address them.
- Formulation of relevant reports for submission to the Group Head Legal and Corporate Services.
- Research on any information to support the implementation of tasks as required by the Group Head Legal and Corporate Services.
- Formulation and preparation of relevant presentations as requested.
Candidate Profile
Qualifications and Experience
- A relevant 1st Degree
- Professional Qualification (related to Company Secretarial)
- Minimum of 2 years working experience (Company Secretarial related)
Competencies
- Company Secretarial Practice Background.
- Understanding of governance particularly in a Financial Services Industry.
- Ability to communicate across the organisation.
- Able to maintain confidentiality.
- Highly organised and able to work independently.
- Proficiency in English
- Computer Literacy.
- Ability to juggle multiple activities and work under pressure.
